Anti Bribery and Anti Corruption Statement

Skanse’s core values is to uphold sound, responsible and fair business operations. It is committed to promoting and maintaining the highest possible ethical standards in relation to all of its business activities. The Group´s reputation for maintaining lawful business practices is of paramount importance to it and this policy is designed to preserve these values. Skanse therefore has a zero tolerance policy towards bribery and corruption and is committed to acting fairly and with integrity in all of its business dealings and relationships wherever it operates and implementing and enforcing effective systems to counter bribery. The policy requires compliance with all applicable laws and regulations on bribery and corruption, including, but not limited to, the U.S. Foreign Corrupt Practices Act (FCPA), the UK Bribery Act 2010 (UKBA), and all applicable anti- bribery statutes and implementing rules and regulations.

Skanse policies are aligned to the prohibitions against bribery and corruption in all of the Skanse operations, to highlight the specific compliance requirements relating to these prohibitions, and to reinforce the Company´s commitment to conducting business globally with the highest level of honesty and integrity. Violating applicable anti- corruption laws potentially exposes Skanse, its employees and any third-party intermediaries (regardless of nationality or location of residence) to significant criminal and civil liability, fines and penalties.

This policy applies on a global basis to the management, employees and contract workers of all entities under the Skanse umbrella.

A violation of relevant anti-corruption laws can lead to severe civil and criminal penalties and reputational harm to our Company.
